Terms and Conditions of Sale

All products sold by Cheap Tubes, Inc. (CTI) are subject to the following Terms and Conditions, interpreted under the laws of the State of Vermont.
1. Agreement of Sale
Products sold by Cheap Tubes, Inc. (“CTI”, “Seller”) are sold to the purchaser (“Buyer”) subject to these Terms and Conditions of Sale (“Agreement”). CTI’s acceptance of any order is expressly limited to these Terms. Any additional or different terms proposed by Buyer are rejected unless expressly agreed in writing by CTI.
2. Prices and Payment
a) All prices are in U.S. dollars.
b) Shipping, taxes, duties, customs charges, and other fees are the responsibility of Buyer.
c) Payment terms are net due at the time of order unless otherwise agreed in writing.
d) CTI may assess interest on late payments at the lesser of 1.5% per month or the maximum lawful rate.
3. Minimum Order Policy (Commercial Sales Only)
Minimum order requirements published by Cheap Tubes Inc. apply solely to future commercial transactions conducted through its standard sales channels and do not apply to government or institutional procurements governed by a separately executed contract.
4. Order Acceptance
Orders are subject to acceptance by CTI. Confirmation may be conveyed in writing or electronically. CTI may refuse or cancel any order within its sole discretion.
5. Delivery, Risk of Loss, and Title
a) Delivery terms are FOB Townshend, Vermont, USA, unless otherwise agreed.
b) Title and risk of loss transfer to Buyer upon delivery to the carrier.
c) Buyer is responsible for import compliance, customs clearance, freight claims, and related costs.
6. Product Use and Testing
Products are sold for research use only unless otherwise agreed. Buyer is responsible for determining fitness for use and compliance with applicable laws and safety regulations.
7. Limited Warranty
a) Disclaimer of Implied Warranties: Except as expressly provided, CTI disclaims all implied warranties, including merchantability and fitness for a particular purpose.
b) Any expressed warranties must be in a signed writing from CTI.
8. Returns and Remedies
a) Defective products may be returned only with prior authorisation.
b) CTI’s sole obligation for defective products shall be replacement or refund of the purchase price, at CTI’s election.
9. Limitation of Liability
a) Cap on Liability: CTI’s total liability for any claim shall not exceed the purchase price paid for the products at issue.
b) Exclusion of Consequential Damages: CTI shall not be liable for indirect, incidental, special, or consequential damages, including lost profits.
10. Indemnification
Buyer shall indemnify, defend, and hold CTI harmless from any third-party claims arising from Buyer’s use, resale, or handling of the products, including intellectual property and compliance claims.
11. Force Majeure
CTI shall not be liable for delays or failures to perform due to causes beyond CTI’s reasonable control, including but not limited to acts of God, government actions, freight disruptions, or customs delays.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Vermont, U.S.A. Venue for disputes shall be in state or federal courts located in Vermont unless otherwise agreed in writing.
13. Entire Agreement; Amendments
This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior agreements. Amendments must be in writing and signed by both parties.
14. Miscellaneous
a) Buyer warrants that it meets any eligibility criteria stated herein (e.g., qualified industry professional status).
b) Headings are for convenience only and shall not affect interpretation.
